This Hutton Lane Website Agreement ("Website Agreement") with Hutton Lane Inc. ("Hutton Lane") applies to your use of all Hutton Lane Websites.

In this Website Agreement, "you" or "your" means each person that uses the Hutton Lane Websites for any purpose. "Hutton Lane Websites" means the Internet sites operated by Hutton Lane.

Internet Access. You certify that you have access to the Internet and a current e-mail address. You have sole responsibility for providing Hutton Lane with a correct and operational e-mail address. Hutton Lane will not be liable for any undelivered e-mail communications or any costs you incur for maintaining Internet access and an e-mail account. You must promptly notify Hutton Lane of any change in your e-mail or postal mailing address.

Electronic Communications. To the fullest extent permitted by applicable law, this Website Agreement and any other agreements, notices or other communications regarding the Hutton Lane Websites ("Communications"), may be provided to you electronically and you agree to receive Communications in an electronic form. Electronic Communications may be posted on the pages within the Hutton Lane Websites and/or delivered to your e-mail address. You will print a paper copy of any electronic Communication and retain it for your records. All Communications in either electronic or paper format will be considered to be "in writing," and to have been received no later than five (5) business days after posting or dissemination, whether or not you have received or retrieved the Communication. Hutton Lane reserves the right to provide Communications in paper format.

Your consent to receive Communications electronically is valid until you revoke your consent by notifying Hutton Lane of your decision to do so. If you revoke your consent to receive Communications electronically, Hutton Lane may terminate your right to use the Hutton Lane Websites and you accept sole liability for any costs associated with this termination, to the extent permitted by law.

Illegal, Fraudulent Or Improper Activity. You will not use the Hutton Lane Websites for any illegal, fraudulent or improper activity. If Hutton Lane suspects that you may be engaging in or have engaged in a fraudulent, illegal or improper activity, including a violation of any terms and conditions relating to the Hutton Lane Websites, your access to the Hutton Lane Websites may be suspended or terminated. You understand that transactions in your Accounts may be suspended or terminated when Hutton Lane believes that there is unusual activity on any of your Accounts. You will cooperate fully with Hutton Lane to investigate any suspected illegal, fraudulent or improper activity.

Password Protection. You will not disclose your password or P.I.N. to access the Hutton Lane Websites ("Password") to any person other than persons you intend to have full authority to act on your behalf with regard to all of your. Hutton Lane may act upon instructions and information received from any person that enters your user name and Password. You will notify Hutton Lane immediately if your Password is compromised or lost.

Security Features. Hutton Lane strongly suggests that you use a web browser with 128-bit encryption. Regardless of whether you use a web browser with security features, Hutton Lane is unable to ensure that the data transmitted by you to Hutton Lane or a Provider, or from Hutton Lane or a Provider to you, will not be intercepted by third parties.

Data Verification. Hutton Lane reserves the right to verify any of the information you provide.

Termination. Hutton Lane, in its sole discretion, may terminate this Agreement, access to its website or access to the service without notice for any reason and at any time.

Proprietary Rights. The Hutton Lane Websites may contain copyrighted material, including text, software, photos, and graphics. The Hutton Lane Websites and associated contents are protected by law, including without limitation United States Copyright Law and international treaties. Hutton Lane owns copyright in the selection, coordination, arrangement and enhancement of such content, as well as in the content created by it. Except as permitted herein or with Hutton Lane's written permission, you may not copy, redistribute, publish, retransmit, transfer, modify or create derivative works, or in any way commercially exploit, any of the content, in whole or in part. You may download copyrighted material for your personal use only. You are not authorized to change or delete author attribution, trademark legends or copyright notices. You acknowledge that you do not acquire any ownership rights by downloading copyrighted material.

Trademarks. Hutton Lane, the Hutton Lane logo and any other marked taglines, logos, or pictures are trademarks of Hutton Lane. All other trademarks appearing on the Hutton Lane Websites are the property of their respective owners. Nothing on the Hutton Lane Websites should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark displayed on the Hutton Lane Websites, without the written permission of the trademark owner.

Limit On Liability. To the fullest extent permitted by law, Hutton Lane will not have any liability in connection with any unauthorized interception or use of data relating to you; any inability to use or access to the Hutton Lane Websites for any reason; any actions or transactions by an individual that uses your user name and Password; or any cause over which Hutton Lane does not have direct control, including problems attributable to computer hardware or software (including computer viruses), telephone or other communications, or Internet service providers. The services accessible through the Hutton Lane Websites are provided "as is" and with all faults, and Hutton Lane hereby disclaims, for themselves and for each Named Partner, all warranties, either express or implied or statutory, including, but not limited to, any implied warranties of merchantability, of fitness for a particular purpose and of lack of viruses.

In no event shall Hutton Lane be liable (a) for damages caused other than by its own gross negligence or intentional misconduct or (b) for indirect, special, incidental, consequential or punitive damages whatsoever (including, but not limited to, damages for lost profits, disclosure of confidential information, or loss of privacy), arising out of or in any way related to the use of or inability to use the Hutton Lane Websites, even if Hutton Lane has been advised of the possibility of such damages. In no event shall Hutton Lane be liable for any act or omission of any third party (such as, for example, any provider of telecommunications services, Internet access or computer equipment or software) or any circumstances beyond our control (such as, for example, a fire, flood or other natural disaster, war, riot, strike, act of civil or military authority, equipment failure, computer virus, or failure or interruption of electrical, telecommunications or other utility services). The foregoing disclaimer may not be effective under applicable state law.

Governing Law. This Website Agreement is accepted by Hutton Lane in the State of Illinois, and is governed by Illinois law between you and Hutton Lane.
